Mindbody and ClassPass now sit inside a $7.5 billion company with EGYM: what to ask about your contract and your listing

October 12, 2026

Playlist owns Mindbody, Booker and ClassPass. On March 31, 2026 it announced "the successful closing of its merger with EGYM" in a press release. The release says the deal "included $785 million in new equity investments" and "values the combined enterprise at $7.5 billion". It says "The new investment was led by Affinity Partners." Vista Equity Partners, Temasek and L Catterton also took part.

We looked for a change to what a studio pays or signs because of this deal. We found none. No reporting we could find describes a new price, a new fee or a new term for Mindbody or ClassPass customers. So this post does not claim anything changed. It reads the documents that decide what can change, on October 12, 2026, and turns them into questions.

What the company said

The January 15, 2026 announcement said "Playlist's suite of brands will operate as they do today". The closing release says "EGYM will become a subsidiary of Playlist alongside Mindbody, Booker, and ClassPass."

The closing release also gives the size of what your studio software now belongs to:

And it says where the money goes next: "the combined company expects to invest further in AI, personalization, operator tooling, and platform connectivity". TechCrunch asked for more and reported "The company declined to share details about any upcoming AI features."

"Operate as they do today" is a sentence in a press release. It is not a clause in your agreement. The clauses are below.

Your contract did not need your signature to move

Mindbody's Terms of Service are marked "Last updated: March 20, 2026". That is eleven days before the merger closed. Section 14.7 covers assignment, and it runs one way. For the studio: "You may not assign, delegate or transfer this Agreement in whole or in part, without Mindbody's prior written consent." For Mindbody: "Mindbody may assign, transfer or sublicense any or all of Mindbody's rights or obligations".

That is common in software contracts. It still means a change of owner above Mindbody asks nothing of you. A studio on a 36-month Order Form is on the same 36 months under the new parent.

The terms can change while you are in them

Section 1.4 says "We may, in our sole discretion, make changes to this Agreement from time to time." It also says "If you continue using the Services after any changes, it means you have accepted them." For material changes the section says "we'll also notify you within the Software Service or by sending you an email."

Price has its own section. Section 4.2 says "Mindbody may increase Locked fees effective as of your next Renewal Term (defined below)." The same section says fees that are not Locked "are subject to change any time." So the question for your Order Form is which of your fees are Locked. We covered the renewal dates and the 30-day notice window in the post on Mindbody's contract terms.

Your listing, and who is allowed to make it

Section 2.4 is headed Marketing Services. It says "Mindbody and/or Mindbody Affiliates may list, promote, or otherwise make available your business locations". The network that can carry the listing includes "referral or distribution networks operated by or integrated with Mindbody or Mindbody Affiliates". We did not find a way to opt out of being listed in that section.

The section also says "Mindbody and Mindbody Affiliates reserve the right to charge fees for the Marketing Services."

Today the published fee is this. Mindbody's pricing page says "Listing your business on the Mindbody app is free." Then it says "The fee is 20%, capped at $30 USD (or 30 in local currency)", charged "only on the first purchase for someone new to your business".

The word to watch in Section 2.4 is Affiliates. After March 31 the companies under the same parent include an employer wellness marketplace with "over 20,000 EGYM Wellpass employer partners". The Terms were last updated before the close. Whether Wellpass counts as part of that network for your studio is a question only Mindbody can answer.

ClassPass is a separate decision today. Mindbody's own page on ClassPass, marked "Last updated: June 30, 2026", says "business owners can decide whether they want to join the ClassPass platform." It also says "We plan to keep the Mindbody app active and separate from the ClassPass membership." A plan is not a promise, so ask for it in writing.

One thing did change for ClassPass partners after the merger, and it went in the studios' favor. Athletech News reported on July 15, 2026 that ClassPass added "payouts on waived late-cancel fees" and "dedicated phone support for partners". If you are on ClassPass, ask your account manager which of those apply to you.

Your member data and the word affiliates

Section 6.1 of the Terms says the studio keeps ownership of its data. It then grants Mindbody and its affiliates a license described as "nonexclusive, worldwide, assignable, sublicensable, fully paid-up, royalty-free, perpetual and irrevocable". The stated purpose is "for the purposes of providing, improving, promoting and developing Mindbody's or its affiliates' businesses".

That sentence was written when the affiliates were booking software and a class marketplace. The parent now also owns smart gym equipment and an employer benefits network, and it says it will invest in AI and personalization. The license did not change. The list of companies it reaches did.

Five questions to send in writing

Send them by email, not on a call. A written answer from your account manager is something you can hold up at renewal. If the answer is "nothing has changed", that is a good answer, and now you have it dated.
